How does Omani law handle the way modern companies actually raise money?

Oman's venture and technology economy arrived faster than the legal commentary around it. Investment Development Oman began operating as the country's first venture capital firm in 2016. The Oman Technology Fund followed. Founders started raising on instruments drafted in Delaware and London, and the received wisdom was that Omani law could not accommodate them.

We disagreed, and we did the work to show why. Our position is that convertible instruments are valid and enforceable in Oman under the Civil Transactions Law, that the drafting has to be precise to satisfy the Shariah requirements around Gharar and Jahala, and that a properly structured instrument holds. That argument is published and open to challenge.

The firm is organised around that kind of question. We are deliberately small, deliberately focused on corporate work, and deliberately willing to take a position rather than describe both sides of one.

Practice structure

What we do not do

We do not hold ourselves out as a full-service firm. If your matter is a real estate dispute, a family succession, or a construction claim, there are firms in Muscat better placed than us, and we will say so.
